Transactional and Commercial
Provide end-to-end legal support on commercial and transactional matters, including drafting, reviewing, and negotiating a broad range of agreements such as sales, procurement, licensing, distribution, services, confidentiality, and strategic partnership arrangements. Advise on deal structuring, risk allocation, and contract lifecycle management, ensuring alignment with internal policies, risk appetite, and applicable laws. Coordinate and manage contract templates, playbooks, and approval processes to drive consistency, speed, and compliance.

Corporate and Governance
Support corporate governance, entity management, and board and shareholder actions for Taiwan entities, including corporate secretarial matters, corporate filings, and maintenance of statutory registers and corporate records. Assist with intra-group transactions, corporate reorganizations, and capital or financing activities, working closely with Finance and Tax. Prepare and maintain corporate documentation, policies, and procedures and help implement governance best practices.

Dispute Resolution
Manage and oversee pre-dispute assessments, claims handling, and dispute resolution processes, including negotiations, mediation, arbitration, and litigation support. Coordinate with external counsel as needed and assist in strategy development, evidence gathering, document management, and case tracking. Advise on settlement frameworks, litigation risk, and reserves, and support internal stakeholders in resolving customer, supplier, and employee disputes in a commercially sensible manner.

Regulatory, Compliance, and Risk
Monitor and interpret applicable laws and regulations in Taiwan impacting the business, including commercial, corporate, competition, data protection, consumer protection, product, employment, and industry-specific regulations. Provide proactive guidance on regulatory developments, licensing and approvals, and compliance program implementation. Support internal policy development, training, and risk assessments and partner with regional and global teams to ensure local alignment with enterprise standards.

Stakeholder Management and Operations
Act as a trusted advisor to business leaders, providing clear, solution-oriented legal advice under tight timelines. Improve legal processes, knowledge management, and operational efficiency, including matter intake, prioritization, and use of technology and external counsel. Prepare concise legal updates, management reports, and training materials and contribute to cross-functional initiatives supporting growth and operational excellence.
